Voting Trust or Agreement

A voting trust or agreement is a written contract among shareholders in which they agree to vote as a block.

The agreement requires the selection of a trustee who agrees to vote a certain way on specific issues.

Voting trusts are usually created among minority shareholders in order to maintain control, or to resolve or prevent a dispute. Voting trusts or agreements should be drafted by an experienced business attorney.
